Terms and Conditions for J-Quants API Service
The Terms and Conditions for J-Quants API Service (hereinafter "Terms and Conditions") set out the terms and conditions for the provision of the Service (as defined in Article 2), and the rights and obligations between JPXI (as defined in Article 2) and the Registered User (as defined in Article 2). The Registered User is required to read all of the Terms and Conditions and agree before using the Service.
Article 1. Application
1. The Terms and Conditions are intended to set out the terms and conditions for the provision of the Service and the rights and obligations for using the Service between JPXI (as defined below) and the Registered User (as defined below), and shall apply to all relationships between the Registered User and JPXI for using the Service.
2. In the event of any discrepancies between the contents of the Terms and Conditions and the rules in the provisions of the preceding paragraph or any other description regarding the Service not provided herein, the provisions of the Terms and Conditions shall prevail.
Article 2. Definitions
The following terms used in the Terms and Conditions shall have the following meanings:
(1) "Service Agreement" means a contract for using the Service between JPXI and the Registered User, which is agreed upon under the terms and conditions of the Terms and Conditions.
(2) "Intellectual Property Rights" means copyrights, patents, utility models, design rights, trademarks, and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
(3) "JPXI" means JPX Market Innovation & Research, Inc.
(4) "JPXI Website" collectively refers to websites provided by JPXI on the Internet with the name "J-Quants" and other websites operated by JPXI.
(5) "Registered User" means any individual who has been registered as a user of the Service pursuant to Article 3. Registration.
(6) "Service" means a service provided by JPXI named "J-Quants API Service" (or if the name or content of the service is modified for any reason, said modified service).
(7) "Data" means a set of data provided by JPXI to the Registered User through the Service.
Article 3. Registration
1. A person wishing to use the Service may apply to JPXI for registration by agreeing to comply with the Terms and Conditions and providing certain information specified by JPXI (hereinafter "Registration Information") in a manner specified by JPXI.
2. JPXI shall determine whether to register a person that has made an application pursuant to Paragraph 1 of this article (hereinafter "Applicant") based on criteria set by JPXI, and if JPXI approves the registration, it will notify the Applicant to that effect. The registration of the Applicant as a Registered User shall be deemed to have been complete upon the notice issued by JPXI in this paragraph.
3. With the completion of the registration prescribed in the preceding paragraph, the Service Agreement shall become effective between the Registered User and JPXI, allowing the Registered User to use the Service pursuant to the Terms and Conditions.
4. JPXI may refuse registration or re-registration of an Applicant if the Applicant falls under any of the following items and shall not be obligated to disclose any reason for such refusal.
(1) The whole or part of the Registration Information provided to JPXI is found to be false, inaccurate, or omitted;
(2) An Applicant is a minor, adult ward, person under curatorship, or person under assistance, and has not obtained consent or permission of its legal representative, guardian, curator, or assistant;
(3) An Applicant is an individual or agent who falls under any of the following items set forth as anti-social forces (hereinafter "Anti-Social Forces"):
(A) Organized criminal group;
(B) Member of any organized criminal group;
(C) A person or entity (including its officers (regardless of their titles such as advisor and counselor; the same shall apply hereinafter), its employees, and any other constituent members; the same shall apply hereinafter) that has close relationships with any organized criminal group or any member of an organized criminal group;
(D) A person or entity which commits any act which undermines social order, civic safety, or the like; or
(E) A person or entity which is deemed to have a relationship subject to social criticism with any person or entity referred to in any of the above items.
(4) A person or entity who has violated any agreement with JPXI or is deemed by JPXI to be related to such a person or entity;
(5) A person or entity who has conducted acts specified in Article 11; or
(6) Any other case in which JPXI deems the registration is not appropriate.
Article 4. Changes in Registration Information
The Registered User shall notify JPXI of any change in the Registration Information without delay in a manner specified by JPXI.
Article 5. Management of Password and User ID
1. The Registered User shall properly manage and store its password and user ID for the Service at its own responsibility, and shall not cause a third party to use, provide, transfer, change the name of, sell or otherwise dispose of them.
2. The Registered User shall be responsible for any damage incurred mainly due to insufficient management, misuse, or use by a third party of the password or user ID.
Article 6. Subscription
1. The Registered User may access the Data by signing up for a paid subscription or free plan after registering to use the Service specified in Article 3.
2. Subscriptions are automatically billed for each subscription period. As the paid subscription plan is for an indefinite term, it automatically continues unless canceled. The free subscription plan is automatically canceled after one year.
3. For more information on canceling a subscription, please refer to the FAQs. If a subscription is canceled, the Registered User will continue to have access to the Data until the end of the remaining billing period. Once said period expires, the Data will no longer be available.
4. For more information on changing a subscription plan, please refer to the FAQs. If a subscription plan is changed during a billing period, the fee for said period will be calculated pro rata on a daily basis according to the subscription price before and after the change. A subscription plan may only be changed once a month.
5. The Registered User will be notified by JPXI of any increase in prices for a subscription plan. The price increase will be applied to the next payment after the notice, provided that the Registered User has received said notice at least 30 days prior to the payment date. If the period between the advance notice and the payment date is less than 30 days, the increase will be applied to the next payment after that date. A Registered User who does not wish to pay the increased price for a subscription plan may cancel its subscription. If a user notifies JPXI of cancellation by the end of the current billing period, the user will not be charged for any further subscription plan.
Article 7. Data Disposal
The Registered User shall immediately dispose or delete all the Data and its duplicates (hereinafter "disposition and/or deletion") after cancelling its subscription plan and expiration of the current remaining billing period. The same shall apply to any request of disposition and/or deletion of the Data from JPXI during the Service period.
Article 8. Purpose of Use
1. The purpose of using the Service and the Data (hereinafter the "Purpose of Use") may be used by the Registered User for its own use.
2. Making the Service and the Data (including edited or processed Data) available to a third party (including distribution over the Internet) or using the Service and the Data for commercial or academic purposes shall not be included in "own use." For more information regarding usage, please refer to the FAQs.
Article 9. Usage Fees
1. Fees for using the Service and the Data can be found in the plan.
2. Notwithstanding the provisions of the preceding paragraph, if a Registered User uses the Service or the Data for any purpose other than the Purpose of Use or in violation of the provisions of the Terms and Conditions, the Terms and Conditions for use of a separate paid information service provided by JPXI shall apply to the use of the Data, and the Registered User shall pay the service fee based on such Terms and Conditions.
3. The payment of the service fee set forth in the preceding paragraph shall not prevent the original rights holder or JPXI from claiming damages caused by the act of the Registered User set forth in the preceding paragraph in excess of this amount.
Article 10. Payment
1. A Registered User who is using a paid plan (hereinafter "Paid Registered User" in this article) shall pay the fee for the Service and the Data (including applicable taxes; the same shall apply hereinafter in this article) only by credit card.
2. The Paid Registered User shall pay the fee for the billing period specified in each plan upon application for the plan. If a subscription is renewed pursuant to the provisions of Article 6, Paragraph 2, a Paid Registered User who is using such a paid plan shall pay the fee for the billing period pertaining to said renewal on the renewal date.
3. JPXI will use a settlement agent service provided by Stripe Japan, Inc. (hereinafter the "Settlement Agent") for credit card payments referred to in Paragraph 1. The Settlement Agent will maintain credit card information (such as credit card number, expiration date, and security code) registered for payment by those who have purchased a product. JPXI will not maintain such information.
4. If any dispute arises between a Paid Registered User and a credit card company among others in connection with the use of a credit card, they shall be responsible for resolving the dispute themselves.
5. If a payment for the Service and the Data is not made by credit card as referred to in Paragraph 1, JPXI may attempt to charge other credit cards on file in order from the top to the bottom of the payment page in the account settings of said Paid Registered User, and said Paid Registered User shall accept such attempts.
6. If JPXI is unable to charge any credit card in accordance with the preceding paragraph, it may cancel the plan of the Paid Registered User, and the Paid Registered User shall accept such cancellation.
Article 11. Prohibited Matters
1. The Registered User shall not perform any of the following acts or acts that JPXI deems to fall under any of the following items in using the Service.
(1) Any act that violates laws and regulations or those related to any criminal act;
(2) Fraud or any threatening act against JPXI, other users of the Service, or other third parties;
(3) Any act against public order and morals;
(4) Infringement on the intellectual property rights, portrait rights, privacy rights, reputation, or any other rights or interests of JPXI, other users of the Service, or other third parties;
(5) Any act that places excessive burden on the network, system, among others of the Service;
(6) Reverse engineering or other analyses of the software or other systems provided by JPXI;
(7) Any act that may interfere with the operation of the Service;
(8) Unauthorized access to JPXI's network, systems, among others;
(9) Impersonation;
(10) Use of the user ID or password of another user of the Service;
(11) Provision of benefits to anti-social forces and the like;
(12) Any act that directly or indirectly leads to or facilitates any act listed in the preceding items;
(13) Any attempt listed in the preceding items; or
(14) Any other act that JPXI deems inappropriate.
2. If a Registered User violates any matters specified in the Terms and Conditions including the preceding paragraph and causes damage to JPXI as a result, the Registered User shall compensate JPXI for all such damages.
3. If a Registered User violates matters specified in the preceding two paragraphs and others in the Terms and Conditions, JPXI may immediately cancel all or part of the Service Agreement without prior notice to the Registered User.
Article 12. Suspension or Discontinuation of the Service
JPXI may suspend or discontinue provision of all or part of the Service without prior notice to the Registered User in any of the following cases.
(1) The computer system related to the Service needs urgent inspection or maintenance;
(2) JPXI is unable to operate the Service due to problems in computer or communication lines such as failures, mishandling, excessively heavy traffic, unauthorized access, or hacking;
(3) JPXI is unable to operate the Service due to force majeure such as earthquakes, lightning, fires, windstorm and flood damage, power outages, and other natural disasters;
(4) The Registered User’s user ID or password is used, or reasonably suspected to be used, by a third party; or
(5) Any other case in which JPXI determines that it needs to suspend or discontinue the Service.
Article 13. Ownership of Rights
1. All intellectual property rights related to the JPXI Website, the Service, and the Data are owned by JPXI or its licensor, and a license to use the Service in accordance with the Terms and Conditions does not mean a license to use the intellectual property rights related to the JPXI Website or the Service owned by JPXI or its licensor.
2. JPXI or its licensor holds all rights to the contents of the JPXI Website, the Service, and the Data.
Article 14. Temporary Suspension of the Use or Cancellation of Registration
1. JPXI may temporarily suspend a Registered User from using the Service or cancel its registration as a Registered User without prior notice or demand if the Registered User falls under any of the following cases:
(1) A Registered User has violated the provisions of the Terms and Conditions;
(2) The Registration Information is found to be false;
(3) A Registered User has not responded to inquiries or other communications from JPXI requesting a response for more than seven days;
(4) A Registered User falls under any item of Article 3, Paragraph 4; or
(5) Any other case in which JPXI determines that it is inappropriate that a Registered User continues to use the Service or to be registered as a Registered User.
2. If a Registered User falls under any of the cases set forth in items of the preceding paragraph, all obligations that the Registered User owed to JPXI shall become automatically due and payable, and the Registered User shall immediately fulfill them to JPXI.
Article 15. Membership Cancellation
1. The Registered User may cancel membership for the Service and delete its registration as a Registered User upon completion of procedures specified by JPXI.
2. Upon cancellation, if a Registered User owes any debt to JPXI, such debts owed by the Registered User shall become automatically due and payable, and the Registered User shall immediately fulfill them to JPXI.
3. After cancelling the membership, the Registered User will be immediately unable to access the Data, even before the end of the current billing period.
4. The handling of user information after the cancellation of membership shall be pursuant to the provisions of Article 18.
5. Upon cancellation, the Registered User shall immediately dispose of or delete all of the Data and its duplicates.
Article 16. Modification or Termination of the Service
JPXI may modify the contents of the Service or terminate the provision of the Service at its own discretion.
Article 17. Disclaimer
In using the Service, the Registered User shall agree to all of the following items:
(1) JPXI shall make no compensation to the Registered User nor accept liability for any cost or damages incurred by the Registered User due to a failure of any devices, equipment, or software outside the scope of JPXI’s operation or management, such as the Internet.
(2) JPXI and data providers shall accept no responsibility or liability for damages that may be incurred by a Registered User, which may result from the use of the Service or the Data.
(3) JPXI and data providers shall bear no responsibility or liability whatsoever for the truthfulness, accuracy, credibility, and usability of the Data, or any judgment made by a Registered User based on the Data.
(4) A Registered User shall settle any disputes with a third party at its own responsibility and expense as a result of the use of the Service or the Data, and JPXI shall not have any involvement in such disputes.
(5) Even in the event of changes to the contents of the Data (including corrections to earnings reports and other information by listed companies) after the Registered User has received the Data, the Data may not be corrected by JPXI.
(6) In the event that a Registered User is using the Data in an unauthorized manner, such as using the Data for a purpose different from that stated at the time of application for the Service, and if JPXI deems it necessary, it will investigate the Registered User's usage and give prior notice to the Registered User. JPXI shall not be liable for any costs or damages incurred by the Registered User or any third party in connection with such investigations.
(7) JPXI shall accept no liability for damages with regard to losses or disadvantages incurred by a Registered User or a third party as a result of JPXI suspending the Registered User from using the Service pursuant to the provisions of Article 14. Temporary Suspension of the Use or Registration Cancellation, and shall not refund the usage fee for the period of said suspension.
(8) JPXI shall provide the Service with no guarantee of system availability and shall accept no liability for damages regarding losses or disadvantages incurred by a Registered User or a third party as a result of JPXI suspending or discontinuing the Service pursuant to the provisions of Article 12. Suspension or Discontinuation of the Service, and shall not refund the usage fee for the period of said suspension or discontinuation. However, if the Service is suspended or discontinued for an extended period of time, such as for more than half of the billing period, JPXI may refund up to the usage fee for each plan other than the free plan for the period of said suspension.
Article 18. Handling of User Information
1. The handling of user information obtained by JPXI from the Registered User shall be in accordance with the provisions of JPXI's "Handling of Personal Information" and "
Privacy Policy", and the Registered User shall agree that JPXI will handle user information of the Registered User in accordance with these provisions.
2. User information collected by JPXI in the Service Agreement shall be as follows:
(1) Personal information provided by the Registered User to JPXI including name, address, telephone number, and e-mail address; and
(2) Access logs (access date and time, IP address, identification code, arguments, etc.) for the Service, access logs (access date and time, IP address, identification code, referrers, etc.) and cookie information for this website collected by JPXI when the Registered User uses the Service.
3. The purposes of using user information collected by JPXI are prescribed in "Handling of Personal Information", in addition to those as follows:
(1) Traffic and behavior measurement;
(2) Maintenance and improvement of the Service; and
(3) Response to violations of JPXI's Terms and Conditions regarding the Service.
4. JPXI may outsource the handling of user information prescribed in Paragraph 2, Item 1 to Stripe Japan, Inc. to the extent necessary for operating and maintaining the Service. The Registered User shall agree to said outsourcing in advance.
Article 19. Amendment to the Terms and Conditions
JPXI may amend the Terms and Conditions if it deems necessary. If it amends the Terms and Conditions, JPXI shall notify the Registered User of the modification and the effective date of the modification by posting the modified Terms and Conditions on the JPXI Website or by any other appropriate means. However, if any changes legally require consent from the Registered User, JPXI shall do so in a manner specified by JPXI.
Article 20. Communication and Notice
1. Any communication or notices from the Registered User to JPXI including inquiries with respect to the Service, and those from JPXI to the Registered User including notices concerning amendments to the Terms and Conditions shall be made in a manner specified by JPXI.
2. Any communication or notices made by JPXI to the e-mail address or any other contact address included in the Registration Information is deemed to have been received by the Registered User.
Article 21. Disposal of Status under Service Agreement
1. The Registered User may not assign, transfer, pledge as collateral, or otherwise dispose of its contractual status, or rights or obligations under the Terms and Conditions to a third party without JPXI’s prior written consent.
2. If JPXI transfers the business related to the Service to another party, JPXI may, as part of said transfer, assign to the company its contractual status, the rights and obligations under the Terms and Conditions, the Registration Information of the Registration User, and other customer information, and the Registered User is deemed to have hereby agreed in advance to said assignment in this paragraph. The business transfer prescribed in this paragraph shall include not only ordinary business transfers, but also corporate divestitures and any other business transfers.
Article 22. Severability
If any provision of the Terms and Conditions or any part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of the Terms and Conditions or parts thereof shall remain in full force and effect.
Article 23. Governing Law and Jurisdiction
1. The Terms and Conditions and the Service Agreement shall be governed by and construed in accordance with the laws of Japan.
2. Any and all disputes which may arise out of or in connection with the Terms and Conditions or the Service Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of the first instance.
Article 24. Language
1. The Terms and Conditions and the Service Agreement are written in Japanese and has been translated into English. The Japanese version is the official version, and the English version is for reference purposes only. In the event of any conflict between these two versions, the Japanese version shall prevail.
2. Japanese is the governing language, and translations of the Terms and Conditions into other languages are for the convenience of reference only and are not binding on the parties hereto.
Article 25. Elimination of Anti-Social Forces
1. In light of it being a public service company which supports market operations, JPXI hereby declares that it will block any transactions with anti-social forces including criminal and extremist elements (hereinafter referred to as "Anti-Social Forces"), and that it will take a resolute stance against Anti-Social Forces which jeopardize the order and safety of civic society.
2. The Registered User hereby declares that it will block any transactions with Anti-Social Forces.
3. The Registered User pledges that any person or entity referred to in the following items does not fall under Anti-Social Force:
(1) The Registered User or its shareholders (limited to those that have de facto participation in the management of the Registered User), officers, or employees; or
(2) An individual, corporation, or organization that is the Registered User's agent, intermediary or other party related to transactions with JPXI.
4. The Registered User will recognize the purpose and intent of the declaration in the preceding three paragraphs and cooperate with JPXI so as to observe the declaration.
